Terms of Service

These Terms of Service ("Terms") govern your use of the Audiala mobile application and website operated by Audiala Solutions Ltd ("Audiala", "we", "us", or "our"). By accessing or using Audiala, you agree to be bound by these Terms. If you do not agree, please do not use our services.

1. Acceptance of Terms

By creating an account, downloading the app, or using any Audiala service, you confirm that you:

Are at least 16 years of age.
Have read, understood, and agree to these Terms.
Accept our Privacy Policy.

We may update these Terms from time to time. Continued use of the service after changes constitutes acceptance of the updated Terms. We will notify you of material changes through the app or by email.

2. License and Access

Audiala grants you a limited, non-exclusive, non-transferable, revocable license to:

Download and install the Audiala app on your personal device.
Access and use audio guides, maps, and related content for personal, non-commercial purposes.
Download guides for offline use within the app.

You may not:

Copy, redistribute, or publicly perform Audiala content outside the app.
Reverse-engineer, decompile, or disassemble the app or its components.
Use automated systems (bots, scrapers) to access or extract content.
Sublicense, resell, or commercially exploit any part of the service.

All content — including audio guides, text, images, maps, and software — remains the intellectual property of Audiala Solutions Ltd or its licensors.

3. User Responsibilities

When using Audiala, you agree to:

Provide accurate and up-to-date account information.
Keep your login credentials secure and confidential.
Use the service only for its intended purpose — personal travel and exploration.
Comply with all applicable local, national, and international laws.
Not upload, share, or transmit harmful, illegal, or offensive content.

You are responsible for all activity that occurs under your account. If you suspect unauthorized access, contact us immediately at [email protected].

4. Subscriptions and Payment Terms

Pricing

Audiala offers free content and premium subscriptions. Subscription plans and pricing are displayed in the app and may change with prior notice.

Billing

All purchases and subscriptions are processed through the Apple App Store or Google Play Store.
Payment is charged to your App Store or Play Store account at the time of purchase or subscription renewal.
Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current billing period.

Refunds

Refund requests are handled by Apple or Google according to their respective refund policies.
Audiala does not process payments directly and cannot issue refunds outside of the app stores.

5. Cancellation

You may cancel your subscription at any time through your device's App Store or Play Store settings.

Upon cancellation, you retain access to premium features until the end of the current billing period.
After the billing period ends, your account reverts to the free tier. Downloaded offline guides linked to the premium subscription may no longer be accessible.
No partial refunds are provided for unused portions of a subscription period.

6. Limitation of Liability

To the maximum extent permitted by law:

Audiala is provided "as is" and "as available" without warranties of any kind, whether express or implied.
We do not guarantee that guide content is complete, accurate, or up to date. Locations, opening hours, and routes may change without notice.
Audiala is not responsible for any injury, loss, or damage arising from the use of our guides, including but not limited to navigation decisions, physical hazards at points of interest, or reliance on guide information.
Our total liability for any claim arising from your use of the service shall not exceed the amount you paid to Audiala in the 12 months preceding the claim.

Safety note: Always exercise personal judgement and follow local regulations when exploring. Audiala guides are for informational and entertainment purposes.

7. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the Republic of Estonia, without regard to conflict-of-law provisions.

Any disputes arising from or related to these Terms or your use of Audiala shall be resolved in the courts of Tallinn, Estonia. Before initiating formal proceedings, both parties agree to attempt resolution through good-faith negotiation.

If you are a consumer in the European Union, you retain any mandatory consumer protection rights under the laws of your country of residence.

8. Termination

We reserve the right to suspend or terminate your account at our discretion if you:

Violate these Terms of Service.
Engage in fraudulent, abusive, or harmful behaviour.
Attempt to circumvent security measures or access restrictions.

Upon termination, your right to use the service ceases immediately. We may delete your account data in accordance with our Privacy Policy.

9. Indemnification

You agree to indemnify and hold harmless Audiala Solutions Ltd, its officers, employees, and partners from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your violation of these Terms or misuse of the service.

10. Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.
