These Ambassador Terms of Service ("Ambassador Terms") govern your participation in the Program as an ambassador ("Ambassador," "you," or "your"). By enrolling in the Program, you agree to be bound by these Ambassador Terms, in addition to Audiala's general Terms of Service and Privacy Policy. The Program allows you to earn commissions by promoting Audiala and referring new subscribers. Please read these terms carefully before joining. 1. Program Overview 1.1 What is the Ambassador Program? The Audiala Ambassador Program is a revenue-sharing affiliate program that rewards you for promoting Audiala and referring new paying subscribers. As an Ambassador, you receive a unique referral code and link to share with your audience. 1.2 Two-Level Commission Structure The Program features a two-level commission structure: Level 1 (Direct Referrals): Earn commissions on subscriptions from users who sign up using your referral link. Level 2 (Second-Level Referrals): Earn additional commissions when your direct referrals also become Ambassadors and bring in their own subscribers. 1.3 Program Benefits As an Ambassador, you receive: Personalized referral code and trackable link Real-time dashboard showing referrals and earnings Promotional materials (images, copy, QR codes) Monthly commission payouts Priority support for Ambassador inquiries 2. Eligibility and Enrollment 2.1 Eligibility Requirements To become an Ambassador, you must: Be at least 18 years of age (or the age of majority in your jurisdiction) Have an active Audiala account in good standing Provide accurate and complete registration information Have a valid payment method for receiving payouts (Stripe Connect, PayPal, or Nano wallet) Agree to and comply with these Ambassador Terms Not be located in a jurisdiction where participation is prohibited 2.2 Enrollment Process To enroll in the Program: Navigate to the Ambassador section in the Audiala app Review and accept these Ambassador Terms Complete the registration form with required information Set up your payout method (Stripe Connect, PayPal, or Nano wallet) Receive your unique Ambassador code and promotional materials 3. Commission Structure 3.1 Commission Rates Current commission rates are: Level Commission Rate Description Level 1 20% Direct referrals - users who subscribe using your referral link Level 2 5% Second-level referrals - subscribers referred by your direct referral Ambassadors 3.2 Commission Calculation Commissions are calculated as follows: Base Amount: The net subscription revenue (after Apple/Google platform fees, typically ~30%) Level 1 Commission: 20% of the net subscription revenue from direct referrals Level 2 Commission: 5% of the net subscription revenue from second-level referrals 3.3 Recurring Commissions You earn commissions for the lifetime of a referred subscriber's subscription, including initial purchase, all renewals, and plan upgrades. 4. Payout Terms 5.1 Minimum Payout Threshold Standard Payout Methods (Stripe Connect, PayPal): $50.00 USD minimum Nano (XNO) Cryptocurrency: No minimum payout threshold 5.2 Payout Schedule Frequency: Monthly Processing Date: 15th of each month for the previous month's earnings Payment Window: 5-7 business days after processing 5.3 Payout Methods Method Processing Time Fees Minimum Payout Stripe Connect 2-5 business days Standard Stripe fees apply $50.00 USD PayPal 1-3 business days Standard PayPal fees apply $50.00 USD Nano (XNO) Instant Free (0%) None 5.3.1 Nano (XNO) Cryptocurrency Payments If you select Nano (XNO) as your payout method, the following additional terms apply: Wallet Requirements: You must provide a valid Nano wallet address (nano_ or xrb_ prefix) You are solely responsible for the accuracy of your wallet address Audiala is not liable for payments sent to incorrect addresses Transaction Characteristics: Nano payments are processed on the Nano decentralized network Transactions are typically confirmed within seconds All Nano transactions are final and irreversible No transaction fees are deducted from your payout Valuation and Conversion: Commission amounts are calculated in USD Conversion to XNO occurs at payout time using market rates You bear all exchange rate risk after receipt Volatility and Risk Acknowledgment: Cryptocurrency values are highly volatile The value of XNO may increase or decrease substantially after receipt Audiala does not provide investment advice Security Responsibilities: You are solely responsible for securing your wallet and private keys Lost or compromised wallet access cannot be recovered by Audiala Regulatory Considerations: You are responsible for complying with all applicable cryptocurrency laws in your jurisdiction Audiala reserves the right to discontinue Nano payouts with 30 days' notice 6. Promotional Guidelines 6.1 Required Disclosures You MUST disclose your affiliate relationship in all promotional content: "Affiliate link" or "#ad" on social media posts "I earn a commission if you subscribe through my link" This is required by FTC guidelines and similar regulations. 7. Prohibited Activities The following are strictly prohibited: Creating fake accounts for referrals Self-referrals Spam and deceptive practices Trademark violations Incentivized installs Violations may result in termination and commission forfeiture. 8. Intellectual Property We grant you a limited, non-exclusive, revocable license to use Audiala's trademarks and promotional materials solely for Program promotion. 9. Program Changes and Termination 9.1 Changes to Terms We may modify these terms with 30 days' advance notice for material changes. 9.2 Your Right to Terminate You may terminate participation at any time by contacting ambassador@audiala.com. 9.3 Our Right to Terminate We may terminate your participation immediately for serious violations or with 14 days' notice for other reasons. 10. Tax Responsibilities 10.1 Your Tax Obligations You are solely responsible for reporting income and paying all applicable taxes. 10.2 Tax Documentation Country Required Forms United States W-9 (U.S. persons) Non-U.S. W-8BEN or W-8BEN-E 10.5 Cryptocurrency Tax Considerations If you receive payments in Nano (XNO): Fair Market Value Reporting: Cryptocurrency received is generally taxable income Report the USD value at time of receipt Audiala provides payout receipts for your records Capital Gains: Subsequent sale of XNO may trigger capital gains/losses Tax basis is the fair market value at receipt Self-Employment Tax: Commission income may be subject to self-employment tax Quarterly estimated payments may be required Record Keeping: Maintain records of all cryptocurrency receipts Keep copies of payout receipts Retain records as required by your tax authority Important: Audiala does not provide tax advice. Consult a qualified tax professional. 11. Limitation of Liability THE PROGRAM IS PROVIDED "AS IS" WITHOUT WARRANTIES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE COMMISSIONS PAID TO YOU IN THE 12 MONTHS PRECEDING ANY CLAIM. 12. Dispute Resolution 12.1 Governing Law These terms are governed by Swiss law, Canton of Zug. For cryptocurrency-related disputes, Swiss financial market law and FINMA guidance apply. 12.2 Arbitration Disputes shall be resolved through binding arbitration. 13.
